These Terms of Service (the “Terms”) form a binding agreement between you and HolyDocs and govern your access to and use of our documentation platform, websites, command-line tools, APIs, and related services. Please read these Terms carefully. By creating an account, deploying a documentation project, or otherwise using the Service, you agree to be bound by these Terms.
1. Introduction
HolyDocs provides a hosted documentation platform that helps individuals, teams, and organizations author, publish, and maintain technical documentation. These Terms apply to every visitor, user, and customer of HolyDocs, regardless of plan tier. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and the words “you” and “your” refer both to you individually and to that organization.
If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service after we post a modified version of these Terms constitutes your acceptance of those modifications.
2. Definitions
For the purposes of these Terms, the following capitalized words have the meanings set out below.
- HolyDocs, we, us, or our means HolyDocs and its affiliates that operate the Service.
- Service means the HolyDocs documentation platform, including the hosted application at
app.holydocs.com, the documentation renderer at*.holydocs.comand customer custom domains, the public APIs atapi.holydocs.com, the command-line interface (the “CLI”), software development kits, and any related tools, documentation, and support that we provide. - User means any natural person who accesses or uses the Service, whether as an account holder, an end user of a Customer’s documentation site, or otherwise.
- Customer means the individual or entity that creates a HolyDocs account, or on whose behalf an account is created, and that is responsible for payment of any applicable fees.
- Content means all text, source files (including MDX, Markdown, code snippets, and OpenAPI specifications), images, illustrations, videos, audio, configuration files, theme assets, comments, feedback, and any other materials that you or your authorized users upload to, generate within, or otherwise submit to the Service.
- Documentation Site means the rendered, public-facing website generated by the Service from your Content.
- Plan means the subscription tier you have selected (currently Free, Starter, Pro, Business, or Enterprise), as described on our pricing page.
3. Account Registration
3.1 Eligibility
You must be at least sixteen (16) years old to create a HolyDocs account. If you are younger than the age of majority in your jurisdiction, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.
3.2 One Account Per User
You agree to create only one personal account. You must provide accurate, current, and complete information during registration and keep that information up to date. You are responsible for safeguarding your authentication credentials, including any API tokens, device-login codes, or OAuth sessions issued to you. You must notify us promptly at security@holydocs.com if you believe your account has been accessed without your authorization.
3.3 Authorized Users
Customers may invite additional individuals to collaborate on a documentation project. Each invited individual must accept these Terms and must access the Service through their own credentials. You are responsible for the acts and omissions of anyone you invite to your workspace, including their compliance with these Terms.
4. Acceptable Use
You agree that you will not, and will not permit any third party to, use the Service to:
- violate any applicable law, regulation, court order, or third-party right (including intellectual property, privacy, and publicity rights);
- upload, generate, host, or transmit any Content that is unlawful, defamatory, harassing, obscene, sexually explicit involving minors, hateful, or that incites violence;
- send unsolicited communications, advertisements, or other promotional material (“spam”), or attempt to use the Service to operate a list-bombing, phishing, or scam campaign;
- host, link to, or distribute malicious code, including viruses, worms, ransomware, rootkits, cryptocurrency miners executed without consent, or any code designed to interfere with the proper functioning of any system;
- probe, scan, or test the vulnerability of the Service or any system or network, or breach or otherwise circumvent any security or authentication measures, except as expressly permitted under our responsible disclosure policy;
- reverse engineer, decompile, disassemble, attempt to derive the source code of, or create derivative works from the Service, except to the extent such restrictions are prohibited by applicable law;
- access the Service through automated means (other than the documented APIs and CLI) in a manner that imposes a disproportionate load on our infrastructure or that is designed to overwhelm rate limits;
- rent, lease, sublicense, white-label, or resell access to the Service without our prior written consent;
- use the Service to train, fine-tune, or benchmark a competing machine-learning system; or
- encourage or assist any third party in doing any of the foregoing.
We may, in our reasonable discretion, suspend or remove Content or accounts that we believe violate this section, particularly where continued operation poses a risk to the Service, to other Users, or to third parties. Where practical and lawful, we will provide notice and an opportunity to cure before doing so.
5. Your Content
5.1 Ownership
You retain all right, title, and interest in and to your Content. Nothing in these Terms transfers any ownership of your Content to HolyDocs.
5.2 License to HolyDocs
You grant HolyDocs a worldwide, non-exclusive, royalty-free license to host, copy, cache, transmit, store, index, render, reformat, display, perform, and create derivative works of your Content solely as necessary to operate, secure, and improve the Service for you. This license includes the right to process your Content through third-party subprocessors (see our Subprocessors page) and to generate embeddings, search indexes, and other technical representations required to power features such as the AI assistant, search, and analytics. The license terminates when your Content is deleted, except for backup copies retained for the periods described in our Privacy Policy.
5.3 No AI Training on Your Content
We do not use your Content to train foundation models, and we do not permit our large-language-model vendors to do so. Your Content is sent to AI providers only to respond to a request made on your behalf, and responses are not retained by those providers beyond their stated abuse-monitoring windows.
5.4 Your Representations
You represent and warrant that (a) you own or have the rights to your Content, (b) your Content and our authorized use of it do not infringe any third-party right, and (c) your Content complies with these Terms and all applicable laws.
5.5 Feedback
If you send us suggestions, feature requests, or other feedback about the Service, we may use that feedback without any obligation to you and without any compensation. We will not associate your feedback with your name in any public communication without your consent.
6. Intellectual Property
The Service, including all software, documentation, designs, themes (other than those you author yourself), the “HolyDocs” name and logo, the “Ethereal Bloom” design system, and all related marks, are owned by HolyDocs or its licensors and are protected by intellectual property and other laws. Except for the limited license granted to you to access and use the Service under these Terms, no rights are transferred to you. You agree not to remove, alter, or obscure any copyright, trademark, or other proprietary notice that appears in the Service.
Our open-source components are made available under their respective licenses. Use of open-source software does not grant you any rights to HolyDocs trademarks or the proprietary portions of the Service.
7. Subscriptions, Billing, and Refunds
7.1 Plans and Fees
Paid Plans are offered on a monthly or annual subscription basis. Fees are stated in U.S. dollars unless otherwise indicated and are exclusive of any taxes, levies, or duties imposed by taxing authorities. You are responsible for all applicable taxes other than taxes based on HolyDocs’ net income.
7.2 Authorization and Auto-Renewal
By providing a payment method, you authorize HolyDocs and our payment processor, Stripe, to charge that payment method for all fees due. Subscriptions renew automatically at the end of each billing period (monthly or annually) at the then-current rate for your Plan unless you cancel before the renewal date. We will attempt to charge your payment method on the renewal date; if payment fails, we may downgrade your account to the Free Plan or suspend access until payment is received.
7.3 Cancellation
You may cancel your subscription at any time from your account dashboard or by emailing billing@holydocs.com. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until that period ends, after which your account will revert to the Free Plan. Annual subscriptions cancelled mid-term will be prorated for any unused full months upon written request, less any discounts attributable to the annual commitment.
7.4 Refund Policy
We offer a 14-day refund window on the first paid subscription purchased for any given account, provided that the request is made within 14 days of the initial charge and the account has not violated these Terms. Subsequent renewals and upgrades are non-refundable except where required by applicable law. Refunds will be issued to the original payment method.
7.5 Free Plan
The Free Plan is provided at no cost and is subject to the usage limits described on our pricing page. We may modify or discontinue the Free Plan, or any of its features, at any time without liability.
7.6 Past-Due Amounts
Past-due invoices accrue interest at the lower of 1.0% per month or the maximum rate permitted by law. You agree to reimburse us for reasonable costs incurred in collecting overdue amounts, including attorneys’ fees.
8. Plan and Price Changes
We may introduce new Plans, modify existing Plans, or change pricing. For changes that materially increase the price of, or materially reduce the features included in, your current Plan, we will provide at least thirty (30) days’ advance notice by email to the address on file and by posting a notice in the dashboard. Price changes take effect on your next renewal date. If you do not agree to a change, your sole remedy is to cancel before the change takes effect.
9. Termination
9.1 By You
You may terminate your account at any time by cancelling all subscriptions and deleting the account from the dashboard. Following deletion, your Content will be purged in accordance with the schedule in our Privacy Policy.
9.2 By HolyDocs for Cause
We may suspend or terminate your access to the Service immediately, with or without notice, if we reasonably determine that (a) you have materially breached these Terms, (b) continued operation creates a security, legal, or reputational risk to HolyDocs or third parties, or (c) you have failed to pay fees when due and have not cured the non-payment within ten (10) days of notice.
9.3 By HolyDocs for Convenience
We may terminate your account or discontinue the Service for any reason on at least thirty (30) days’ notice. If we do so, we will refund any prepaid, unused fees for the terminated period.
9.4 Effect of Termination
Upon termination, your right to access the Service ends. We will make your Content available for export for a period of at least thirty (30) days after termination, after which we may permanently delete it. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, indemnification, governing law, dispute resolution, and miscellaneous provisions) will survive.
10. Disclaimers and Service Levels
The Service is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, HolyDocs disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that any defects will be corrected.
We target 99.9% monthly uptime for the Pro, Business, and Enterprise Plans, measured at the documentation renderer. Service-level commitments, including credit eligibility, are described in the applicable order form or Service Level Agreement (SLA). No SLA applies to the Free or Starter Plans. AI features depend on third-party model providers and may experience additional latency or unavailability that is not covered by the standard SLA.
11. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will HolyDocs, its affiliates, or any of their respective officers, directors, employees, agents, or licensors be liable for any (a) indirect, incidental, special, consequential, exemplary, or punitive damages; (b) loss of profits, revenue, goodwill, use, or data; (c) business interruption; or (d) cost of substitute goods or services, in each case arising out of or relating to these Terms or the Service, even if HolyDocs has been advised of the possibility of such damages.
In any case, HolyDocs’ aggregate liability for all claims arising out of or relating to these Terms or the Service will not exceed the greater of (i) the total fees you paid to HolyDocs in the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) one hundred U.S. dollars (US $100). The limitations in this section apply regardless of the theory of liability and form an essential basis of the bargain between you and HolyDocs.
12. Indemnification
You agree to defend, indemnify, and hold harmless HolyDocs, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your Content; (b) your use of the Service in violation of these Terms or applicable law; or (c) your violation of any third-party right, including any intellectual property or privacy right. We will promptly notify you of any such claim, allow you to control its defense and settlement (provided that you may not settle any claim without our prior written consent if the settlement imposes any obligation on us), and cooperate reasonably at your expense.
13. DMCA and Copyright Takedowns
HolyDocs respects the intellectual property rights of others and expects Users to do the same. If you believe that material residing on or accessible through the Service infringes your copyright, you may submit a notice of infringement under the Digital Millennium Copyright Act (DMCA) to our designated agent. To be effective, your notice must include:
- your physical or electronic signature;
- identification of the copyrighted work claimed to have been infringed (or a representative list, if multiple works are involved);
- identification of the material claimed to be infringing, with information reasonably sufficient to permit us to locate it (such as a URL);
- your contact information (address, telephone number, and email address);
- a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and
- a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or are authorized to act on its behalf.
Send notices to our designated agent at dmca@holydocs.com. We will respond to properly formed notices in a reasonable time and may, in appropriate cases, terminate the accounts of repeat infringers. Counter-notifications may be submitted to the same address and must comply with 17 U.S.C. § 512(g)(3).
14. Governing Law
These Terms and any dispute arising out of or relating to them or the Service will be governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15. Dispute Resolution; Arbitration; Class Waiver
15.1 Informal Resolution
Before filing a claim, you agree to try to resolve the dispute informally by sending a written notice describing the dispute and the requested resolution to legal@holydocs.com. We will attempt in good faith to resolve the dispute within sixty (60) days of receipt.
15.2 Binding Arbitration
If informal resolution fails, you and HolyDocs agree to resolve any remaining dispute through binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and the Consumer Arbitration Rules where applicable. The arbitration will be conducted in your state of residence (or, for businesses, in Delaware) and may be held by video conference. The arbitrator has exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration provision.
15.3 Class Action Waiver
You and HolyDocs agree that each party may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative proceeding.
15.4 Opt-Out
You may opt out of the arbitration agreement by sending written notice to legal@holydocs.com within thirty (30) days of first accepting these Terms. Opt-outs do not affect any other provision of these Terms.
15.5 Exceptions
Either party may bring an action in small-claims court for disputes within the court’s jurisdiction, and either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
16. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Service, the law, or our business. For material changes, we will provide at least thirty (30) days’ notice by email to the address on file and by posting a notice in the dashboard. Non-material changes (clarifications, typographical corrections, updates to non-binding policies) take effect upon posting. Your continued use of the Service after the effective date of an updated version constitutes acceptance of the changes. If you do not agree, you must stop using the Service and may cancel your subscription as described above.
17. Miscellaneous
17.1 Entire Agreement
These Terms, together with our Privacy Policy, Data Processing Agreement, Cookie Policy, and any order forms or written agreements that reference these Terms, constitute the entire agreement between you and HolyDocs regarding the Service and supersede all prior agreements on the subject.
17.2 Assignment
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of all or substantially all of our assets.
17.3 No Waiver; Severability
Our failure to enforce any provision of these Terms is not a waiver of that provision. If any provision is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be interpreted to give effect to its intent to the greatest extent permitted by law.
17.4 Force Majeure
Neither party will be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, pandemic, internet or telecommunications outages, or government action.
17.5 Independent Contractors
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and HolyDocs.

Notices to HolyDocs must be sent to legal@holydocs.com. Notices to you will be sent to the email address associated with your account or posted in the dashboard.
